Terms of Service

By accessing or using ClinicPulse (the "Service"), operated by NexPulse AI, you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a clinic or organisation, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not use the Service.

ClinicPulse is an AI-powered WhatsApp receptionist platform designed for dermatology clinics. The Service enables clinics to automate patient appointment bookings, send reminders, answer frequently asked questions, and distribute clinic brochures — all through WhatsApp. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

The Service is intended for use by registered healthcare clinics and authorised clinic staff. By using ClinicPulse, you represent that: • You are at least 18 years of age • You are authorised to act on behalf of the clinic you represent • Your use of the Service complies with applicable laws and regulations in your jurisdiction

You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others. You must not: • Use the Service to send unsolicited messages or spam to patients • Misrepresent your identity or your clinic's credentials • Attempt to gain unauthorised access to any part of the platform or its infrastructure • Reverse engineer, decompile, or disassemble any part of the Service • Use the Service to store or transmit malicious code You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

ClinicPulse is offered on a subscription basis. Fees are charged as set out in our pricing plans at the time of purchase. All prices are inclusive of applicable taxes unless stated otherwise. • Setup fees are non-refundable once onboarding has commenced. • Monthly subscription fees are billed in advance and are non-refundable for partial months. • We reserve the right to change pricing with 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing. • Failure to pay may result in suspension or termination of your account.

All content, software, designs, and technology comprising the ClinicPulse platform are the exclusive property of NexPulse AI or its licensors, protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your internal clinic operations during your subscription period. You may not copy, reproduce, or create derivative works from any part of the Service without our prior written consent.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy. You retain ownership of all patient data and clinic data you input into the Service. By using the Service, you grant NexPulse AI a limited licence to process this data solely for the purpose of providing the Service to you.

To the maximum extent permitted by applicable law, NexPulse AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or business interruption, arising out of or in connection with your use of the Service. Our total aggregate liability for any claims arising under these Terms shall not exceed the fees paid by you to NexPulse AI in the three months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. ClinicPulse is a communication and scheduling tool and is not a substitute for professional medical judgment. We are not responsible for any clinical decisions made based on information processed through the Service.

Either party may terminate these Terms at any time. You may cancel your subscription by contacting us at [email protected]. We may suspend or terminate your access to the Service immediately if you breach these Terms or if we are required to do so by law. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination (including payment obligations, intellectual property, and limitation of liability) shall survive.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Amravati, Maharashtra, India.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
